10BitWorks Community and Nonprofit Use License (CNUL) v1.0

This software and associated documentation files (the "Software") are made available under the terms below.

1. License Grant

Subject to your compliance with this License, Licensor grants you a non-exclusive, non-transferable, revocable license to use, reproduce, modify, and distribute the Software ONLY as permitted in Section 2.

2. Permitted No-Fee Uses

You may use the Software at no cost if, and only if, your use is either:

A) Non-Commercial Use
Use that is not primarily intended for or directed toward commercial advantage or monetary compensation.

B) Qualified Nonprofit Use
Use by an organization that is recognized as tax-exempt under Section 501(c) of the United States Internal Revenue Code (or successor provision), and uses the Software for its nonprofit mission.

3. Commercial Use Requires a Separate Paid License

Any Commercial Use is prohibited under this License unless you first obtain a separate written commercial license from Licensor and provide compensation as required by that agreement.

"Commercial Use" includes, without limitation:
- Selling, licensing, leasing, or sublicensing the Software or a derivative work.
- Using the Software to provide paid services, hosted services, or software-as-a-service.
- Internal use by a for-profit entity in connection with revenue-generating business operations.
- Any use primarily intended for commercial advantage.

4. Distribution Conditions

If you distribute the Software or a derivative work under this License, you must:
- Include a complete copy of this License.
- Preserve all copyright, trademark, and attribution notices.
- Clearly mark any material modifications you made.

5. Restrictions

You may not:
- Misrepresent the origin of the Software.
- Remove or obscure ownership notices.

6. Verification for 501(c) Organizations

Upon Licensor's reasonable request, users claiming Qualified Nonprofit Use must provide reasonable evidence of current 501(c) status.

7. Termination

Any use not authorized by this License, including unlicensed Commercial Use, automatically terminates your rights under this License. Upon termination, you must stop using and distributing the Software until proper authorization is obtained.

8. No Warranty

THE SOFTWARE IS PROVIDED "AS IS", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LICENSOR SHALL NOT BE LIABLE FOR ANY CLAIM, DAMAGES, OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT, OR OTHERWISE, ARISING FROM OR IN CONNECTION WITH THE SOFTWARE OR THE USE OR OTHER DEALINGS IN THE SOFTWARE.
